SUBJECT:Resolution 2021-76 of the City Council of the City of Fairfield Approving the Purchase and Sale Agreement and Joint Escrow Instructions between the City of Fairfield and Fairfield-Suisun Sewer District for the Sale of the Property Located Off of Cordelia Road in Fairfield, CA More Commonly Known as APN 0046-010-440

RECOMMENDED ACTION 
Adopt resolution.
STATEMENT OF ISSUE 
The City of Fairfield (the “City”) and the Fairfield-Suisun Sewer District (“FSSD”) would like to enter into the proposed Purchase and Sale Agreement and Joint Escrow Instructions (“PSA”) for the sale of the City owned property located off of Cordelia Road more commonly known as APN 0046-010-440 (“Property”).
DISCUSSION
In 2002, the City of Fairfield (the “City”), the Fairfield-Suisun Sewer District (“FSSD”), and the Solano Irrigation District (“SID”) agreed to amend a 1974 agreement (the “Agreement”) that required the City to construct, operate, and maintain a recycled water pipeline from the Solano Business Park to the City’s Linear Park (the “Project”). The Agreement required the Project be completed by October 2017, the City to extend the Project ten (10) years to 2027, or the City to provide an alternative to the Project.

The City is the owner of the Property which is adjacent to the FSSD facility. The City currently leases a portion of the Property to Fairfield Extreme Sports through April 3, 2022.

The FSSD would like to obtain the Property, its easements excluding an easement for emergency ingress and egress, and the existing lease agreement as proposed in the PSA in exchange for releasing the City from its obligation to complete the Project. The City agrees to transfer of the Property to FSSD.

The Proposed Resolution approves the PSA and authorizes the City Manager to execute all documents necessary for the acquisition of the Property, its easements excluding an easement for emergency ingress and egress, and the existing lease agreement.

FINANCIAL IMPACT
The transaction is considered an even exchange, therefore, no payment is due to the City from the FSSD for the property. The City will be required to pay its portion of the escrow and transfer fees.

ALTERNATIVE ACTION 
The City Council can choose not to approve the transaction and terminate the PSA with the FSSD.
